Version 1.0 — in force since 26 October 2026
Provider: Quentin MABROUK — sole proprietor (entrepreneur individuel, EI), trading as MABSTUDIO — SIRET 930 502 620 00014 — 46 Rue Chaussade, 43000 Le Puy-en-Velay, France — contact@mabstudio.fr.
Hereinafter "the Provider". The other party is referred to as "the Client".
Non-binding summary: the articles below prevail.
1.1. These general terms of sale (the "Terms") govern all services of design, development, launch, hosting, maintenance and enhancement of websites provided by the Provider, whether the Client chooses to buy the site or to rent it.
1.2. They form the single basis for commercial negotiation within the meaning of article L. 441-1 of the French Commercial Code. They are provided to any client or prospect on request.
1.3. They are annexed to each quote. Signing the quote constitutes unreserved acceptance of the version of the Terms annexed to it. The Client's own purchasing conditions cannot be enforced against the Provider unless agreed in writing.
1.4. In the event of conflict, the order of precedence is: the signed quote, then these Terms.
2.1. Every service is the subject of a written quote setting out the scope, the option chosen (purchase or rental), the tier, the price, the schedule, the billing milestones and the deliverables.
2.2. The quote is valid for 30 days from its date of issue.
2.3. The contract is formed on the date the Provider receives the signed quote, bearing the words "approved and agreed", the date and the express acceptance of the version of these Terms annexed to it.
2.4. Any request outside the scope described in the quote (additional page, new feature, graphic redesign after a mock-up has been approved, migration of content not provided for) is covered by a priced amendment, at the rates in article 15.4 where they apply. No out-of-scope work is started without the Client's prior written agreement.
3.1. The Provider offers two options, between which the Client chooses in the quote: purchase of the site or rental of it. Each is available in three tiers, at the following prices, before tax:
The exact content of each tier, and the prices of tiers 2 and 3, which are stated as "from" prices, are those set out in the quote, which prevails over this list.
3.2. Purchase. The Client acquires the site: the rights are assigned to the Client on payment in full (article 10), the code and access are handed over (article 14) and, if the Provider hosts the site and keeps it online, monthly running fees are payable (article 16).
3.3. Rental. The Client uses the site in return for a monthly rent, with no entry fee and no minimum term. The site remains the Provider's property during the rental (article 17).
3.4. The sites are built with HTML, CSS and JavaScript written to order, possibly with animation or 3D-rendering libraries. This technical choice is deliberate and is explained to the Client: it produces fast, unique sites, but it does not include an administration interface. The practical consequences are set out in article 15, which the Client is invited to read before signing.
3.5. Unless the quote states otherwise, the following are not included in the purchase price or in the monthly rent: writing the copy, photographs and videos, the purchase of fonts, images or paid licences, paid search-engine promotion services, translation, the domain name and its renewal. Hosting is covered by the running fees for a purchased site (article 16) and by the monthly rent for a rented site (article 17).
3.6. Where the delivered site is an e-commerce service aimed at consumers, the Client is informed that European accessibility legislation may apply to the Client, regardless of the Provider's own situation. Making the site accessible is a separate line in the quote when it is requested.
4.1. Prices on the English version of the site are stated in US dollars, before tax (the French version states them in euros). As long as the Provider benefits from the VAT exemption (franchise en base de TVA), the words "VAT not applicable, article 293 B of the French General Tax Code" appear on quotes and invoices: no VAT is then charged, none is recoverable by the Client, and the amount before tax is the amount payable.
4.2. The VAT exemption ceases to apply from the day the increased turnover threshold applicable to services, set by article 293 B of the French General Tax Code, is exceeded; exceeding only the basic threshold ends the exemption on 1 January of the following year. The Provider informs the Client in writing as soon as it becomes aware of this. The purchase and enhancement prices in quotes already signed remain firm and final: any VAT that may be due is deemed included in the agreed price and cannot be added to the Client's bill. Monthly prices (rental, running fees, care plans) are firm while the exemption applies; when it ends, VAT at the rate in force is added to them from the first payment date following 30 days' written notice, and the Client may terminate without charge before that date. VAT at the rate in force is charged in addition on quotes issued after the exemption has ended.
4.3. The applicable price is the one in the signed quote. The Provider may change its prices at any time, without effect on quotes already signed.
4.4. Costs advanced on the Client's behalf (domain name, licence, paid hosting) are re-invoiced at cost, on proof of expense, unless otherwise agreed.
5.1. Payments are made by bank transfer to the account shown on the invoice.
5.2. Purchase: payment schedule.
The quote may provide for a different schedule, in particular an intermediate milestone for custom projects.
5.3. Rental: monthly rent paid in advance. The monthly rent is paid one month in advance. It falls due from the date the site goes live (article 9), then on the same day each month. No entry fee is payable.
5.4. Running fees and care plans. They are invoiced monthly (article 16) and are payable within the period set by article 5.5.
5.5. Invoices, other than rental payments due in advance, are payable within 15 days of their date of issue. No discount is granted for early payment.
5.6. Late payment. Where the Client is a business, in accordance with article L. 441-10 of the French Commercial Code, any late payment automatically entails, without prior formal notice:
The Provider sends an amicable reminder before applying these penalties.
5.7. Suspension for non-payment. If an invoice remains unpaid 15 days after a formal notice that has had no effect, the Provider may suspend ongoing work, enhancement services and content changes, after informing the Client in writing with 8 days' notice.
This suspension can in no event consist of taking a purchased site offline, restricting public access to it, interrupting hosting, deleting backups, withholding the items provided for in article 14 or blocking the domain name, in accordance with articles 14 and 16.7. A purchased site that is already online stays online. Suspension does not release the Client from paying the sums due and extends the deadlines accordingly. For a rented site, article 17.5 applies.
5.8. Electronic invoicing. From 1 September 2026, all businesses, including micro-businesses, must be able to receive electronic invoices through an approved platform. The obligation to issue invoices in electronic format will apply to the Provider from 1 September 2027. Each party gives the other, as soon as its own obligation takes effect, its SIREN number and the dematerialisation platform it uses.
6.1. The Provider undertakes to perform the service in accordance with professional standards and with the scope defined in the quote. It has a best-efforts obligation (obligation de moyens).
6.2. It informs the Client without delay of any difficulty likely to affect the schedule or the outcome.
6.3. It uses only components whose licence permits the intended use, and keeps a dated record of the licences used.
7.1. Supply of content. The Client supplies, within the periods agreed in the quote, all the items needed: texts, images, logos, legal information, contact details, existing technical access.
7.2. Warranty on content. The Client warrants that it holds the rights to every item it supplies (texts, photographs, logos, trademarks, customer reviews). It indemnifies the Provider against any third-party claim in this respect.
7.3. Approvals. The Client has 10 working days to approve or comment on each interim deliverable (mock-up, acceptance version). Its feedback is given in writing, consolidated and explicit.
7.4. No response.
7.5. The Client appoints a single contact authorised to give approvals.
8.1. The quote sets an agreed delivery date and, where relevant, interim milestones. This date is a commitment by the Provider, not a mere estimate.
8.2. Delay attributable to the Client. The delivery date is pushed back, day for day, by any delay on the Client's part in supplying content or in giving the approvals provided for in article 7. If the shift exceeds one month, the Provider communicates in writing, within 5 working days, a new date that takes its workload into account. If this date does not suit the Client, the Client may end the project under article 24.1, with no restart fee or penalty, and recovers the work done and the access provided for in article 14 (for a rental, its content and domain name, article 17.7).
8.3. Delay attributable to the Provider. If delivery does not take place by the agreed date for a reason attributable to the Provider, the Client may give the Provider written formal notice to perform within a reasonable additional period, which may not be less than 15 days.
8.4. If this additional period expires without delivery, the Client may, at its choice and by simple written notice:
8.5. No delay may be held against the Provider where it results from a case of force majeure within the meaning of article 26, or from the failure of a service supplier that the Client itself imposed or whose choice is binding on both parties (domain-name registrar, host specified in the quote, third-party service essential to the project), provided that the Provider informs the Client without delay and makes its best efforts to limit the delay. Delay caused by a subcontractor chosen by the Provider is, however, fully attributable to the Provider, in accordance with article 27.
8.6. Consumer Client. Where the Client is a consumer, article L. 216-6 of the French Consumer Code applies: the Client may terminate the contract immediately, without having to grant an additional period, where the Provider refuses to deliver or where the delivery date was an essential condition of the contract. Refunds are then made under the conditions of article L. 216-7 of the same code.
9.1. When development is complete, the Provider makes the site available to the Client at a test address, for checking.
9.2. The Client has 10 working days to report in writing any non-conformity with the scope defined in the quote. The corresponding corrections are made at no charge.
9.3. New requests, changes of graphic direction after the mock-up has been approved, and content changes are not non-conformities: they fall under article 2.4.
9.4. The site is deemed accepted on the earliest of these dates: the Client's written approval, its launch at the Client's request, or the expiry of a period of 10 working days following a written reminder from the Provider that has gone unanswered.
The reminder referred to in this article is sent by email, expressly states the date on which the period expires and the consequence of not responding (acceptance of the site, the balance or the first monthly rent falling due), and is repeated a second time five working days before the deadline. Without these two reminders, tacit acceptance cannot be held against the Client.
9.5. Launch makes the balance (article 5.2) or the first monthly rent (article 5.3) payable, and starts the warranty period (article 18).
10.1. Scope. This article applies to purchase. During a rental, no rights are assigned: the Client has a right of use under the conditions of article 17.3.
10.2. Assignment. Subject to payment in full of the price, the Provider assigns to the Client, on an exclusive basis — subject only to the right to cite the work as a reference under article 28 and to the authorship credit under article 10.9 — the economic copyright in the creations made specifically for the Client under the contract: mock-ups, graphic identity guidelines, texts written by the Provider, images produced by the Provider, and the source code and compiled code of the site. For tiers 1 and 2, which are built on a pre-existing base owned by the Provider, the exclusive assignment covers the adaptations made specifically for the Client; the base itself is licensed to the Client on a non-exclusive, royalty-free, worldwide basis for the full term of the rights, covering the rights listed in article 10.3, and the Provider keeps the right to reuse it for other projects.
10.3. Rights assigned. The assignment covers the right of reproduction, the right of public communication and the right of adaptation, that is, the right to reproduce, display, distribute, modify, have modified by a third party, correct, develop, translate and incorporate the creations. As regards elements of the site that qualify as software, it covers all the rights listed in article L. 122-6 of the French Intellectual Property Code: permanent or temporary reproduction, translation, adaptation, arrangement and any other modification, as well as reproduction of the resulting software, and the placing of copies on the market.
10.4. Media and purpose. The assignment applies to all existing digital and print media, and for the needs of the Client's business, including for commercial and advertising purposes.
10.5. Territory. Worldwide.
10.6. Term. The full statutory term of copyright protection, including any extensions.
10.7. Limit. The Client may transfer the assigned rights together with the entity or business it operates. However, resale of the code, or making it available to third parties, as a reusable template or theme is not included in the assignment, unless the Provider agrees in writing.
10.8. Before payment in full. Until the price is paid in full, the Client has a non-exclusive, non-transferable right to use the site, covering acceptance and then operation of the launched site in the normal course of its business. This right of use is revocable automatically in the event of continued non-payment, fifteen days after a formal notice that has had no effect. The final assignment of rights provided for in articles 10.2 to 10.7 takes effect automatically, without formality, on the day of payment in full.
10.9. Moral rights. The author's moral rights cannot be assigned. The Provider may place a discreet credit, "Site designed by Mabstudio", in the footer. The Client may ask for it to be removed by simple written notice, at no charge.
10.10. Remuneration. Remuneration for the assignment is a lump sum included in the price of the service shown in the quote, in accordance with article L. 131-4 of the French Intellectual Property Code, this being a commissioned work intended for the Client's own use for which there are no means of monitoring the application of a proportional share. No further royalty is due.
11.1. The site may incorporate third-party libraries, fonts, icons or images, in particular animation and 3D-rendering libraries. These items are not the Provider's property and are not assigned: they remain governed by their own licence.
11.2. The Provider warrants that, at the delivery date, each third-party component incorporated is used under a licence that permits the use intended by the Client, including commercial use. In the case of a purchase, the list of components and their licences is handed over to the Client at delivery, with the sources (article 14).
11.3. Where a component requires a paid or named licence (font, image library, plugin), the licence is taken out in the Client's name and at the Client's expense, unless the quote states otherwise. The Provider states this explicitly before the order is placed.
11.4. If the publisher of a third-party component changes its terms after delivery, the Provider informs the Client if it becomes aware of it and proposes a replacement solution, the cost of which, if any, is the subject of a quote.
12.1. The domain name is registered in the Client's name, and the Client is its holder, whether the Client buys or rents. The Client appears as the owner contact with the registrar.
12.2. If the Client so requests, the Provider carries out the registration steps on its behalf, as a mere technical agent. The Provider then gives the Client, as soon as the domain is registered, the account identifier, the expiry date and the registrar used.
12.3. Registration and renewal fees are borne by the Client. Renewal is the Client's responsibility, unless the quote expressly states otherwise.
12.4. If, for a technical reason, a domain has been registered in the Provider's name, the Provider gives the Client, on simple written request and within 15 days, the transfer code and all the information needed. The transfer itself takes place as soon as possible, subject to lock periods imposed by the registrar or by the rules of the extension concerned (in particular the 60-day lock following a registration or a change of holder), which the Provider does not control and of which it informs the Client. The transfer is free of charge.
12.5. The Provider retains no right over the domain name and cannot oppose its transfer, even in the event of a commercial dispute.
13.1. Hosting is provided by a third-party host. The quote specifies the solution chosen. For a purchased site, it is included in the running fees for as long as the Provider provides them (article 16.2); for a rented site, it is included in the monthly rent (article 17.2).
13.2. For a purchased site, the hosting account is opened in the Client's name from the first test launch, not at delivery. The Client owns it and may change it at any time, including where the Provider pays its fees as part of the running fees.
13.3. Where the Client asks the Provider to host a purchased site on the Provider's own account, this is stated in the quote. In that case, the Provider undertakes to transfer control of the account to the Client, or to migrate the site to the host of the Client's choice, within 30 days of the Client's written request, for whatever reason.
13.4. The Provider is not responsible for interruptions attributable to the host, but assists the Client with the steps to be taken.
13.5. Unless the quote states otherwise, the running fees do not include a separate backup service: the complete copy of a purchased site is the source code handed over under article 14, the safekeeping of which is the Client's responsibility.
13.6. For a rented site, hosting is provided by the Provider on its own account, the site remaining its property during the rental (article 17.3).
This article applies automatically to a purchase, at no extra charge and without the Client having to ask. For a rental, only the Client's content and domain name are returned (article 17.7).
14.1. At delivery and no later than payment of the balance, the Provider hands over to the Client:
14.2. The Provider refrains from any technique designed to make the site dependent on it: no undocumented proprietary component, no obfuscated code, no licence tied to its person, no service that only it could renew.
14.3. The Client may at any time entrust the maintenance or development of the site to another provider. The Provider then answers the technical questions of the taking-over provider free of charge, up to one hour. Beyond that, assistance is subject to a prior quote.
14.4. These obligations survive the end of the contract, whatever the cause, including termination for non-payment once the sums due have been paid.
15.1. What the Client should know before signing. A site built to order in HTML, CSS and JavaScript has no administration interface. In practice, changing an opening time, a price or a text, or adding a photograph, requires an intervention in the site's files. The Client cannot do it from a dashboard. For a rented site, content updates are unlimited and included in the monthly rent (article 17.2); the rest of this article concerns the purchased site.
15.2. Options available. The Client chooses freely, in the quote or later:
15.3. Turnaround time. For a purchased site, a change request is handled within 5 working days of its acceptance and of receipt of the materials. Urgent requests are handled subject to availability, with no commitment on timing.
15.4. Pricing of enhancements. The following enhancements are invoiced at the prices below, before tax, with the Client's prior written agreement, before any work begins (article 2.4):
For a rented site, only services that go beyond the content updates and the monthly design change included in the monthly rent are invoiced (article 17.2).
16.1. Principle. Where the Provider hosts a purchased site and keeps it online, the Client pays the Provider monthly running fees, set out in the quote according to the tier: $19 per month before tax for tier 1, $39 per month before tax for tier 2 and $129 per month before tax for tier 3 (article 3.1).
16.2. What the running fees include:
16.3. What the running fees do not include: content changes (texts, images, opening times, prices), new pages or features, graphic redesign, writing content, producing photographs or videos, search-engine optimisation or advertising services, managing the catalogue and orders of an e-commerce site, renewing the domain name and paid third-party licences, and repairing damage caused by a third party's intervention in the code or by non-compliant use. These services fall under article 15 or are the subject of a quote.
16.4. Reporting a fault or a vulnerability never costs anything. On a delivered site, the Provider examines any report free of charge and states in writing whether the fix is included (warranty under article 18, security updates, tier 3 maintenance) or is the subject of a quote.
16.5. Content care and Extended care. In addition to the running fees, the Client may subscribe to an optional support plan: Content care, $59 before tax per month, or Extended care, $179 before tax per month. The content of each plan is specified in the quote.
16.6. Term and termination. The running fees and each care plan have no minimum term and are terminated separately, any month, in writing, on 30 days' notice, without reason or penalty. Either party may end them on these terms. A month that has begun remains due. The end of the running fees automatically ends the care plans.
16.7. What happens if the Client stops the running fees. The site remains the Client's property and keeps working:
The site stays online during the 30-day notice period, which gives the Client time to arrange the migration, extended if the absence of a transfer is attributable to the Provider. MABSTUDIO never switches the site off on the ground that the running fees are no longer being paid. In plain terms: stopping the running fees means losing the service, never the site.
16.8. The Client remains responsible for renewing its domain name and the licences taken out in its name, unless the quote expressly states otherwise.
17.1. Principle. Instead of buying, the Client may rent its site. The monthly rent is $89 before tax for tier 1, $159 before tax for tier 2 and $529 before tax for tier 3 (article 3.1). Rental has no entry fee and no minimum term.
17.2. What the monthly rent includes:
Any service that goes beyond these updates and this change is the subject of a quote (article 2.4).
17.3. Ownership of the site and licence of use. During the rental, the site, its code, its mock-ups, its graphic identity guidelines and its creations remain the Provider's property. No rights are assigned and article 10 does not apply. The Provider grants the Client, for the duration of the rental, a non-transferable right to use the site for the needs of its business.
17.4. The Client's content and domain name. The texts, photographs, logos and other items supplied by the Client, as well as its domain name (article 12), remain its property. The warranty in article 7.2 applies.
17.5. Payment and late payment. The monthly rent is paid one month in advance (article 5.3). In the event of late payment, the Provider sends a reminder and then a written formal notice; no suspension or taking offline takes place before that formal notice. If the monthly rent remains unpaid 15 days after the formal notice, the Provider may, after 8 days' written notice, suspend the site or take it offline, and then terminate the rental on the terms of article 24.2. The Client then recovers its content and its domain name on the terms of article 17.7.
17.6. Termination by the Client. The Client may end the rental any month, in writing, without reason, compensation or exit fee. Termination takes effect at the end of the monthly period already paid.
17.7. End of the rental. Whatever the cause, the Provider returns to the Client, within 15 days, its texts, its photographs and its other content, as well as its domain name (transfer code, article 12.4). Once these items have been returned, the site is taken offline. The code and the Provider's creations remain the Provider's own and the Client stops using them.
17.8. Buy-out. Buying out a rented site is not provided for by these Terms. It can result only from a written quote.
18.1. The Provider warrants that the purchased site conforms to the scope defined in the quote for three (3) months from launch. During this period, any technical defect reported in writing is fixed free of charge.
18.2. The warranty does not cover: requests for enhancements, changes made by the Client or by a third party, faults attributable to the host, the browser, a third-party service or the Client's equipment, or the consequences of use that does not comply with the technical note handed over at delivery.
18.3. The statutory warranty against latent defects and, where applicable, the statutory warranty of conformity apply in any event on the terms provided by law.
18.4. For a rented site, technical defects reported in writing are fixed free of charge throughout the rental, as part of the maintenance included in the monthly rent (article 17.2), subject to the exclusions in article 18.2.
19.1. The Provider has a best-efforts obligation. It applies the skills and diligence customary in the profession.
19.2. No commercial result is guaranteed. The Provider guarantees neither a ranking in search engines, nor a volume of visits, enquiries, bookings or revenue. These results depend on factors it does not control.
19.3. The Provider is not responsible for content supplied by the Client, nor for the compliance of the Client's business with the regulations that apply to it.
19.4. Except in cases of gross negligence, wilful misconduct, bodily injury or breach of an essential obligation of the contract, the Provider's liability in respect of a project is limited to the total amount actually paid by the Client under the contract concerned. Indirect damage — loss of revenue, loss of customers, loss of data not attributable to the Provider, harm to reputation — gives rise to no compensation.
19.5. Article 19.4 does not apply where the Client is a consumer or a non-professional within the meaning of the preliminary article of the French Consumer Code. In that case, the Provider is liable for non-performance or defective performance of the contract on the terms of ordinary law and the French Consumer Code, without limitation or exclusion.
20.1. Where the service replaces an existing site, the Provider carries out, before launch, an inventory of the addresses (URLs) of the current site and sets up permanent (301) redirects to the corresponding pages of the new site. This inventory is handed over to the Client.
20.2. The following are included in the purchase price or in the monthly rent, at no extra charge: the title and description of each page, the sitemap (sitemap.xml), the robots.txt file, structured data about the business, display on mobile and optimisation of loading performance.
20.3. This work is a best-efforts obligation concerning technical compliance. In accordance with article 19.2, no result in terms of ranking, traffic or revenue is guaranteed: these results depend on factors the Provider does not control.
21.1. The Provider's processing of the Client's data is described in the legal notice and in the privacy policy of the mabstudio.fr website.
21.2. Where the delivered site collects personal data (contact form, order, customer account), the Client is the data controller. It is for the Client to define the purposes, inform the individuals concerned, obtain the necessary consents and keep its records of processing.
21.3. Where the Provider accesses this data as part of the running fees, a care plan or the rental, it acts as a processor within the meaning of the GDPR: it acts only on the Client's instructions, uses the data for no other purpose, keeps it confidential, takes appropriate security measures, informs the Client of any breach without undue delay, and deletes or returns the data at the end of the contract. A data processing agreement compliant with the GDPR is signed by both parties before the Provider has any access to personal data processed by the site. Failing a signed agreement, the Provider does not access this data.
21.4. The Provider draws the Client's attention to the Client's own obligations regarding trackers and audience measurement. Bringing them into compliance is a separate service identified in the quote when it is requested.
22.1. Each party undertakes to keep confidential the other's non-public information that it learns of in connection with the contract, for the whole of its term and three years after it ends.
22.2. This obligation does not apply to information that is already public or whose disclosure is required by law.
23.1. Principle. The right of withdrawal provided for by the French Consumer Code does not apply automatically between businesses. It applies in the cases provided for below.
23.2. Consumer Client. Where the Client is an individual acting outside any professional activity and the contract is concluded at a distance or off-premises, the Client has 14 days from the conclusion of the contract to withdraw, without reason or penalty, using the attached form or any unambiguous written statement.
23.3. Business Client solicited off-premises. Under article L. 221-3 of the French Consumer Code, a business Client has the 14-day right of withdrawal provided for in article 23.2 where all three of the following conditions are met:
The Provider also grants this right by contract to a business Client meeting these three conditions.
23.4. Fairs and trade shows: no right of withdrawal. In accordance with article L. 224-59 of the French Consumer Code, a contract concluded at a fair or trade show gives rise to no right of withdrawal. Where the Provider offers its services there, the contract offer carries at the top, in a type size at least equal to 12 point, the following box: "The consumer does not have a right of withdrawal for a purchase made at a fair or trade show."
23.5. Distance contracts or contracts concluded on the premises. A contract concluded at a distance — by email, telephone or video conference — without prior personal solicitation in a different place, or concluded on the Provider's premises, is not an off-premises contract: a business Client then has no right of withdrawal.
23.6. Ban on early payment. Where the contract falls under article 23.2 or 23.3 and is concluded off-premises, no payment or consideration may be demanded or received before the end of a period of 7 days from the conclusion of the contract, in accordance with article L. 221-10 of the French Consumer Code. The deposit provided for in article 5.2 or the first monthly rent provided for in article 5.3 is then called only after this period has ended.
23.7. Early performance. The Client may expressly request, in writing, that the service begin before the end of the withdrawal period. If the Client then withdraws, the Client pays the amount corresponding to what has been done up to the time the Client communicated its decision, in proportion to the total price. If the service is fully performed before the end of the period, with the Client's prior express agreement and acknowledgement that the Client loses the right, the right of withdrawal can no longer be exercised.
23.8. Refund. In the event of withdrawal, the sums paid are refunded no later than 14 days after receipt of the decision, less, where applicable, the pro rata amount provided for in article 23.7.
24.1. Cancellation by the Client before delivery. The Client may end the project at any time in writing. For a purchase, the Provider then invoices the work actually done at that date and hands over the corresponding work together with the access (article 14). The deposit is credited against this sum: if the work done exceeds the deposit, the difference is invoiced; if it is lower, the overpayment is refunded within 30 days. For a rental, since the monthly rent is due only from launch (article 5.3), cancellation before launch gives rise to no invoicing. This applies without prejudice to article 23.
Method for calculating the work done (purchase). The work done is valued by the milestones set out in the quote, to the exclusion of any other method: scoping and site structure approved, 15% of the price; graphic mock-up approved, 40%; page development completed, 75%; launch, 100%. Only the last milestone reached and approved in writing can be invoiced. If no milestone has been reached, nothing is invoiced and the deposit is refunded to the Client in full within 30 days. This method also applies to articles 7.4 and 8.4.
24.2. Termination for breach. In the event of a serious breach by either party of its obligations, not remedied 15 days after a written formal notice, the other party may terminate the contract automatically, without prejudice to damages.
24.3. In the event of termination for the Client's fault for non-payment, the Provider hands over the work done and the access as soon as the sums due have been paid.
24.4. In any event, article 14 (reversibility), article 12 (transfer of the domain name) and article 17.7 (end of the rental) survive the end of the contract.
The Provider works alone. This article says what happens if the Provider is unavailable, and structures the contract so that the Client is never left stuck.
25.1. The Provider informs the Client, within 72 hours, of any foreseeable or actual unavailability likely to affect the project, the hosting or the care plan (leave, illness, personal incident), stating the estimated duration.
25.2. Permanent structural measures (purchase). Irrespective of any unavailability:
The Client can thus, at any time and without the Provider's permission, entrust its purchased site to another professional.
25.3. Prolonged unavailability. If the Provider is unavailable for more than 30 consecutive days, the Client may, by simple email:
25.4. The Provider provides no on-call service, no standby cover and no round-the-clock continuity of service. It makes no commitment to that effect and the Client is informed of this before ordering. Projects requiring a guarantee of permanent availability fall outside its offer.
26.1. Neither party is liable for a failure resulting from force majeure within the meaning of article 1218 of the French Civil Code. The party concerned informs the other without delay. The obligations are suspended for the duration of the event.
26.2. If the event lasts more than 60 days, either party may terminate the contract in writing; the services performed are due, and sums paid in advance for services not performed are refunded.
27.1. The Provider performs the service personally. It may occasionally use a subcontractor for an ancillary part (writing, photography, illustration, translation, specialist development), after informing the Client in writing and stating the identity of the subcontractor and the part concerned.
27.2. The Client may refuse a proposed subcontractor, in writing and without having to give reasons. The Provider then performs the service itself or proposes another contributor.
27.3. Subcontracting the whole of the project requires the Client's prior written agreement.
27.4. Where the subcontractor is likely to access personal data processed on the Client's behalf, its use is subject to the Client's prior written authorisation, in accordance with the GDPR, and it is bound in writing by the same obligations as those undertaken by the Provider in article 21.3.
27.5. The Provider remains solely responsible to the Client for proper performance and warrants that the subcontractor is bound by the same obligations of confidentiality and intellectual property.
28.1. The Provider may cite the Client's name and logo and show visuals of the site produced in its portfolio, its presentation materials and its communications, solely to demonstrate its expertise, subject to the Client's consent given in the quote (tick box).
28.2. This consent may be withdrawn at any time, in simple written form and without reason. Withdrawal takes effect within 15 days.
28.3. No confidential information of the Client (figures, contracts, customer data) is published.
29.1. The Provider may change these Terms. The version applicable to a contract is the one annexed to the signed quote.
29.2. For monthly services (rental, running fees, care plans), any change is notified to the Client in writing 30 days before it takes effect; the Client may terminate without charge if the Client refuses it.
30.1. If a clause is declared void or unenforceable, the other clauses remain in force.
30.2. The signed quote and these Terms constitute the entire agreement of the parties and replace all prior communications.
31.1. These Terms and the contracts arising from them are governed by French law.
31.2. Prior amicable resolution. Before any action, the party that considers itself wronged sends the other a written complaint at contact@mabstudio.fr. The parties have 30 days to seek an amicable solution.
31.3. Failing agreement, the dispute is brought before the competent court under the rules of ordinary law.
31.4. Where the Client is a consumer within the meaning of the French Consumer Code, the Client may have recourse, free of charge, to a consumer mediator. As the Provider does not currently sell to individuals, no mediator has been designated; one will be designated before any first sale to a consumer, and the mediator's contact details will be added to these Terms and to the quote. The list of approved mediators can be consulted on the website of the Consumer Mediation Evaluation and Monitoring Commission (CECMC). Recourse to mediation is optional and does not prevent bringing the matter before a court.
Form to fill in and return only if you wish to withdraw, on the terms of article 23.
